1.About Abuad Supply

Abuad Supply is an online marketplace that enables customers to discover and purchase products and services offered by approved third-party vendors.

The Platform may provide marketplace technology and services including product discovery, search, customer accounts, checkout, payment processing, order management, delivery coordination, customer support, vendor tools, promotions, reviews and other related features.

Unless Abuad Supply expressly states otherwise for a particular transaction, Abuad Supply is a marketplace operator and not the manufacturer, owner or direct seller of every third-party product listed on the Platform.

2.Acceptance of These Terms

By using Abuad Supply, you confirm that you have read, understood and agree to be bound by these Terms, together with applicable policies, product-specific terms and other rules displayed on the Platform.

If you do not agree with these Terms, you should not use the Platform or its services.

Where a particular transaction has additional terms, those terms may apply to that transaction in addition to these Terms.

3.Eligibility and User Accounts

You must provide accurate information when creating or using an Abuad Supply account.

• Do not create an account using false information.
• Do not impersonate another person or business.
• Keep your contact and account information reasonably accurate and current.
• Do not allow another person to use your account in a way that violates these Terms.
• Notify Abuad Supply if you believe your account has been accessed without authorization.

Abuad Supply may require additional information or verification where reasonably necessary for account security, fraud prevention, vendor approval, payment processing, delivery, dispute resolution or legal compliance.

4.Customer Accounts and Responsibilities

Customers are responsible for the information they provide when ordering, including applicable phone numbers, delivery information and other details required to fulfil an order.

• Provide accurate delivery information.
• Review your cart and checkout information before payment.
• Use supported payment methods only.
• Be reasonably available to receive or collect orders where required.
• Report genuine order problems promptly.
• Do not abuse refunds, promotions, coupons, rewards or customer-protection processes.

5.Vendor Accounts and Approval

Vendors must complete the applicable vendor registration, verification and approval process before receiving access to the selling functionality applicable to their account.

Abuad Supply may support different vendor categories, including student vendors and external/business vendors. Different categories may have different information, documentation, fees or verification requirements.

Completing an application does not automatically guarantee approval. Abuad Supply may approve, reject, request additional information about, suspend or review an application or vendor account according to the applicable marketplace rules.

6.Vendor Information and Verification

Vendors must provide truthful and complete information during registration and while using the Platform.

• Vendor identity and contact information must be accurate.
• School or student information must be genuine where applicable.
• Business information and documents must be genuine where required.
• Vendors must not submit altered, stolen or fraudulent verification documents.
• Vendors must promptly update information that becomes inaccurate.

7.Vendor Registration & Subscription

Registering to become a vendor on Abuad Supply is free. You do not need to pay a registration fee to create a vendor account or submit your vendor application.

Abuad Supply may offer optional paid subscription plans or other paid vendor services. These are separate from vendor registration and are not required simply to register as a vendor. Where applicable, the available subscription plans, prices and benefits will be clearly shown before payment.

Vendor approval is not guaranteed by registration or by purchasing an optional subscription. Vendors must still meet the applicable Abuad Supply requirements and may be subject to verification or approval.

Subscription plans, vendor services, commissions and other applicable charges may be updated as Abuad Supply's marketplace programs evolve. Any applicable price will be displayed before you are asked to make a payment.

8.Vendor Subscriptions

Vendor subscriptions on Abuad Supply are optional. Vendors may register without purchasing a subscription, and registration does not require a subscription payment.

Abuad Supply may offer optional subscription plans that provide additional features, benefits or marketplace services. Subscription plans may differ in price, duration, listing capacity, analytics, visibility, support and other features.

The subscription price, duration and features applicable to a plan are those displayed in the relevant subscription or vendor dashboard experience before payment is made.

If a vendor chooses to purchase a subscription and it expires, fails or is otherwise deactivated, access to subscription-specific features or benefits may be restricted. Vendor registration and account access are not automatically converted into a paid subscription.

Purchasing a subscription does not guarantee sales, customer demand, visibility, revenue or any particular business result.

9.Marketplace Commission and Charges

Abuad Supply may deduct a marketplace commission from eligible vendor sales.

Commission is separate from vendor registration fees and subscription charges.

The applicable commission rate or amount may depend on the product, category, vendor plan, promotion, transaction type or other marketplace conditions. The applicable amount should be displayed in the relevant vendor dashboard, order breakdown, checkout or vendor terms.

Additional permitted deductions may include refunds, adjustments, chargebacks, payment-related charges or other applicable amounts.

10.Product Listings

Vendors are responsible for ensuring that their listings are accurate, complete and not misleading.

• Product titles must accurately describe the item.
• Product descriptions must not contain materially false claims.
• Images should reasonably represent the product being sold.
• Prices must be accurate and updated when they change.
• Variants, sizes, colours and quantities must be correctly represented where supported.
• Inventory must be kept reasonably accurate.
• Vendors must disclose relevant product condition or limitations.

11.Product Availability and Inventory

Vendors should not accept orders for products that they are unable or unwilling to fulfil.

Repeated cancellations caused by inaccurate inventory, unavailable products or failure to maintain listings may result in warnings, restrictions or other marketplace action.

12.Prohibited and Restricted Products

Vendors must not list products or services that are unlawful, prohibited by Abuad Supply's marketplace rules, counterfeit, stolen, fraudulent or otherwise unsuitable for the Platform.

Abuad Supply may remove or restrict listings that it reasonably believes violate applicable law, marketplace rules or customer-safety requirements.

Vendors are responsible for ensuring that they have the necessary rights, permissions, licences and authority to sell the products or services they list.

13.Orders and Order Acceptance

A customer submitting an order does not necessarily mean that the order has been fully accepted by a vendor until the order enters the applicable processing workflow.

Abuad Supply may cancel, reject or restrict an order where reasonably necessary because of suspected fraud, payment problems, inventory issues, pricing errors, system errors, unavailable products or other legitimate operational reasons.

14.Pricing and Pricing Errors

Vendors are responsible for setting accurate product prices. Abuad Supply may provide tools for displaying and calculating prices, discounts, delivery charges and order totals.

If a material pricing or system error occurs, Abuad Supply may take reasonable steps to correct the error, including cancelling an affected order and providing any refund required by the circumstances or applicable law.

15.Payments

Customers must use the payment methods presented as available during checkout.

Abuad Supply may use third-party payment providers, including Paystack, to facilitate eligible payments.

Abuad Supply does not ask customers to bypass the official checkout process by sending money directly to a vendor's personal account where such payment is not expressly supported.

Customers should retain relevant payment references or transaction information in case support is required.

16.Cash on Delivery

Cash on delivery may be offered for eligible orders, locations, vendors or products where Abuad Supply enables that option.

Cash on delivery availability is not guaranteed for every order and may be disabled or restricted where operational, fraud-prevention or other legitimate considerations require it.

17.Vendor Wallet and Settlement

Abuad Supply may provide vendors with wallet or account balances that distinguish between revenue, pending funds and available funds.

Pending funds may remain unavailable for withdrawal while an order is being fulfilled or while delivery, customer protection, dispute or settlement conditions remain outstanding.

A vendor's available balance is not necessarily equal to the gross amount paid by customers because commissions, refunds, adjustments and other applicable deductions may apply.

18.Vendor Withdrawals

Vendors may request withdrawals from eligible available balances according to the current payout rules.

Vendors are responsible for providing accurate payout information.

Abuad Supply may delay, review, reject or hold a withdrawal where reasonably necessary to investigate suspected fraud, disputed transactions, account issues, compliance concerns or other legitimate risks.

19.Delivery and Fulfilment

Delivery arrangements may differ depending on the vendor, product, customer location and delivery method.

Eligible campus orders may be delivered to supported hostel, room or campus locations.

Customers must provide sufficiently accurate delivery information and should cooperate reasonably with delivery arrangements.

Vendors must prepare and hand over orders according to the applicable fulfilment process.

20.Proof of Delivery

Depending on the order and delivery workflow, Abuad Supply may use delivery confirmation methods including an OTP, customer confirmation, photograph, signature or another verification mechanism.

Users must not falsely confirm delivery information or provide fraudulent delivery evidence.

21.Order Cancellation

Cancellation may be available depending on the status of the order and the applicable marketplace rules.

A cancellation request may not be possible after an order has progressed to fulfilment, dispatch, delivery or another irreversible stage.

Vendors should not cancel accepted orders without a legitimate reason.

22.Order, Payment and Delivery Support

Abuad Supply does not currently operate a general product return or refund program. Customers should review product information and order details carefully before completing a purchase.

If you experience an issue with your payment, such as a failed payment, incorrect payment status or being charged without the order being completed, please contact Abuad Supply support with your order and payment details so the issue can be reviewed.

If you experience a delivery issue, including a delayed, missing or incorrectly handled order, please contact Abuad Supply support with your order number and relevant delivery information.

Where an issue is reported, Abuad Supply may review the relevant transaction, order and delivery information and provide appropriate assistance based on the circumstances.

Contacting support does not automatically create an entitlement to a return, refund, replacement or other remedy unless Abuad Supply expressly agrees to provide one in the particular circumstances.

23.Disputes and Investigations

Abuad Supply may investigate disputes involving customers, vendors, deliveries, payments, product descriptions or other marketplace activity.

Users may be asked to provide information or evidence relevant to an investigation, including photographs, order details, payment references, delivery information or communications.

Abuad Supply may take reasonable action based on the information available to it, subject to applicable law.

24.Reviews and Ratings

Customers may be permitted to rate or review eligible purchases.

Reviews must represent the reviewer's genuine experience.

Users must not create fake reviews, manipulate ratings, impersonate another customer, coordinate fraudulent reviews or use reviews to threaten or extort another user.

Abuad Supply may moderate or remove reviews that violate marketplace rules or applicable law.

25.Promotions, Coupons and Discounts

Abuad Supply may provide promotional campaigns, discounts, coupons, referral programs, loyalty benefits or other incentives.

Every promotion may have its own eligibility requirements, minimum purchase conditions, expiry date, product limitations or other restrictions.

Users must not manipulate, duplicate, transfer, exploit or abuse promotions contrary to their intended terms.

26.Sponsored Products and Marketplace Visibility

Vendors may have access to paid promotional or sponsored placement opportunities.

Paid placement does not necessarily guarantee a sale, a particular ranking position or continued visibility.

Sponsored products remain subject to product quality, availability, marketplace rules and applicable listing requirements.

27.Loyalty and Rewards

Abuad Supply does not currently operate a loyalty, points or rewards program.

Customers should not expect points, rewards, loyalty benefits, cashback or similar incentives unless Abuad Supply officially introduces such a program and provides the applicable terms.

If a loyalty or rewards program is introduced in the future, Abuad Supply may publish separate terms explaining how the program works, including any eligibility requirements, earning rules, redemption conditions, limitations and expiration rules.

28.Prohibited Conduct

Users must not:

• Use the Platform for unlawful purposes.
• Commit fraud or facilitate fraudulent transactions.
• Provide false or misleading information.
• Impersonate another person or business.
• Manipulate reviews, rankings or marketplace activity.
• Attempt to bypass applicable marketplace fees.
• Attempt to circumvent account restrictions.
• Abuse payment, refund, promotion or loyalty systems.
• Interfere with the Platform's normal operation or security.
• Upload malicious code, harmful software or unauthorized content.
• Harass, threaten or defraud customers, vendors, delivery personnel or Abuad Supply staff.

29.Intellectual Property

Abuad Supply and its licensors retain rights in the Platform, software, branding, logos, designs, interface, original content and other intellectual property belonging to Abuad Supply.

Users may not copy, reproduce, modify, distribute, scrape, reverse engineer, resell or commercially exploit Abuad Supply's intellectual property except where expressly permitted by law or written permission.

Vendors remain responsible for ensuring that their uploaded photographs, logos, descriptions, videos and other materials do not infringe another person's intellectual-property rights.

30.Vendor Content Licence

By uploading product information, photographs, descriptions, logos or other content to Abuad Supply, a vendor grants Abuad Supply a non-exclusive permission to use that content as reasonably necessary to operate, display, advertise and promote the vendor's listing and marketplace presence.

Vendors remain responsible for having the necessary rights to provide that content.

31.Third-Party Services

Certain parts of Abuad Supply may depend on third-party services such as payment processors, authentication providers, cloud infrastructure, delivery services, analytics services or other technology providers.

Third-party services may have their own terms, policies, availability and technical limitations.

Abuad Supply is not responsible for matters exclusively controlled by a third-party provider, although Abuad Supply may assist with support where reasonably appropriate.

32.Privacy and Personal Data

Abuad Supply may collect and process personal information necessary to operate accounts, process purchases, provide delivery, prevent fraud, provide customer support, operate vendor services and fulfil other legitimate business and legal purposes.

Our Privacy Policy explains how personal information is collected, used, stored, disclosed and protected.

Users should review the Privacy Policy alongside these Terms.

33.Electronic Communications

By using Abuad Supply, you agree that the Platform may communicate with you electronically regarding your account, orders, payments, deliveries, vendor activity, security, support and other service-related matters.

Transactional communications may be sent through email, notifications, SMS, WhatsApp or other communication channels made available by Abuad Supply.

34.Customer and Vendor Communications

Customers and vendors do not have direct communication channels with each other through the Platform. Communication regarding orders, products, payments, deliveries or other marketplace matters is handled through Abuad Supply.

Customers and vendors may contact Abuad Supply through the communication or support channels made available on the Platform. Abuad Supply may review the information provided and communicate with the relevant party where necessary to assist with a marketplace-related matter.

Users must not attempt to bypass Abuad Supply's communication channels, obtain another user's private contact information through the Platform, or use the Platform to arrange unauthorized direct transactions.

Abuad Supply may restrict or take other appropriate action where a user attempts to misuse the Platform's communication or support channels.

35.Account Suspension and Termination

Abuad Supply may restrict, suspend or terminate an account where reasonably necessary due to violations of these Terms, fraud concerns, security risks, non-payment, prohibited activity, repeated customer harm, inaccurate verification information or other legitimate reasons.

Where appropriate, Abuad Supply may remove listings, pause selling privileges, restrict withdrawals or prevent access to particular marketplace features.

Account restrictions do not automatically cancel outstanding obligations relating to existing orders, refunds, disputes or other transactions.

36.Marketplace Availability

Abuad Supply aims to keep the Platform available and functional but does not guarantee uninterrupted or error-free operation.

The Platform may occasionally be unavailable because of maintenance, updates, technical failures, security events, third-party service interruptions or circumstances outside Abuad Supply's reasonable control.

37.Disclaimers

Product listings are generally supplied by third-party vendors. Vendors are responsible for the legality, authenticity, quality, accuracy and fulfilment of their products and services, subject to applicable law.

Abuad Supply may provide marketplace tools and oversight but does not guarantee that every vendor, product, description, delivery estimate or customer review will always be accurate, available or error-free.

Nothing in these Terms is intended to remove rights or protections that cannot legally be excluded.

38.Limitation of Liability

To the fullest extent permitted by applicable law, Abuad Supply and its directors, employees, agents, partners, suppliers and affiliates shall not be responsible for indirect, incidental, special, consequential or punitive losses arising from use of the Platform.

This may include loss of profits, business interruption, goodwill, data or other intangible losses where legally permitted.

Nothing in this section limits liability that cannot lawfully be limited or excluded.

39.Indemnification

To the extent permitted by applicable law, a user may be responsible for losses, claims, liabilities or reasonable expenses arising from their unlawful conduct, violation of these Terms, infringement of third-party rights, fraudulent activity or misuse of the Platform.

40.Dispute Resolution

We encourage customers and vendors to contact Abuad Supply support first so that marketplace disputes can be reviewed and resolved where possible.

Users should provide relevant order numbers, transaction references and other information reasonably necessary to investigate a dispute.

Nothing in this section prevents a person from exercising rights or remedies available under applicable law.

41.Governing Law

These Terms are intended to be governed by the applicable laws of the Federal Republic of Nigeria, subject to any mandatory legal rights or protections that apply to a particular user or transaction.

42.Changes to These Terms

Abuad Supply may update these Terms when reasonably necessary to reflect changes in the Platform, business operations, marketplace rules, security requirements, payment systems, legal requirements or available services.

The updated version will be published on the Platform with a revised effective or update date.

Continued use of the Platform after updated Terms become effective may constitute acceptance of the updated Terms to the extent permitted by applicable law.

43.Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be interpreted or limited to the extent necessary and the remaining provisions shall continue in effect to the extent permitted by law.

44.No Waiver

Failure by Abuad Supply to enforce a particular provision at one time does not mean that Abuad Supply waives its right to enforce that provision later.

45.Entire Agreement

These Terms, together with the Privacy Policy, applicable marketplace policies, vendor rules, product-specific terms and other terms expressly incorporated by reference, form the agreement governing your use of the applicable Abuad Supply services.

46.Contact and Support

For questions regarding orders, accounts, payments, vendor registration, refunds or other marketplace matters, use the official Abuad Supply support channels made available on the Platform.

When contacting support about a transaction, provide the relevant order number or payment reference where available.
